Service Agreement

  • These terms govern your use of Nimbul Systems' technology consultancy services
  • By engaging our services, you agree to be bound by these terms and conditions
  • Services include but are not limited to: DevOps, Cloud Engineering, Security Consulting
  • All services are provided under UK law and jurisdiction

Payment Terms

  • Payment terms are typically 30 days from invoice date unless otherwise agreed
  • Late payment charges may apply after 30 days at 8% per annum above Bank of England base rate
  • All prices quoted are exclusive of VAT unless otherwise stated
  • Milestone payments may be required for larger projects

Intellectual Property

  • Client retains ownership of all pre-existing intellectual property
  • Nimbul Systems retains rights to methodologies, tools, and general knowledge
  • Custom code and deliverables become client property upon full payment
  • We may retain anonymized case studies for marketing purposes

Limitation of Liability

  • Total liability is limited to the fees paid for the specific service in question
  • We exclude liability for indirect, consequential, or special damages
  • Exclusions don't apply to death, personal injury, or fraudulent misrepresentation
  • Professional indemnity insurance maintained as required by UK law

Confidentiality

  • Both parties agree to maintain strict confidentiality of sensitive information
  • Confidentiality obligations survive termination of the service agreement
  • Information may be disclosed if required by law or court order

Data Protection

  • We process personal data in accordance with UK GDPR and Data Protection Act 2018
  • Data processing activities are covered by our Privacy Policy
  • Client data security is maintained through industry-standard practices

Termination

  • Either party may terminate with 30 days written notice
  • Immediate termination allowed for material breach or insolvency
  • Outstanding fees remain payable upon termination

Dispute Resolution

We aim to resolve any disputes amicably through direct communication. If this is not possible, the following process applies:

Changes to Terms
